End User License Agreement

This End User License Agreement ("EULA") is a legally binding agreement between you ("Licensee," "you") and AtomEons, LLC ("AtomEons," "Licensor") governing your access to and use of any AI skill ("Skilski") made available through the skil.ski platform ("Platform") via the Model Context Protocol ("MCP").

BY ACCESSING OR USING ANY SKILSKI, YOU AGREE TO BE BOUND BY THIS EULA AND THE PLATFORM'S TERMS OF SERVICE. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE ANY SKILSKI.

1. License Grant

Subject to your compliance with this EULA and the Platform's Terms of Service, AtomEons grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Skilski(s) to which you are entitled ("License") solely:

Through the MCP endpoint provided by AtomEons
For your own internal business or personal use
In accordance with any documentation, usage guidelines, and restrictions specified in the Skilski listing

The License does not include any right to access the Skilski outside the MCP protocol, to download or copy the underlying skill content to local storage, or to access the Skilski's system prompts, model architecture, or training data.

2. License Term

2.1 Membership-Gated Access (Pro and Elite Pass)

Access to Skilskis included in your active membership Plan (Pro or Elite) is coextensive with your membership. If your membership is cancelled, expires, or is terminated, your access to catalog-included Skilskis (other than Outright Purchases) ceases at the end of your paid period. Membership-gated Licenses are automatically reinstated if you reactivate a qualifying membership.

2.2 Outright Purchases

If you purchase a Skilski on an outright basis, the License is perpetual: it does not expire upon cancellation or non-renewal of any membership Plan, and you may continue to access the Skilski via MCP indefinitely, subject to platform availability and this EULA. AtomEons does not provide a guarantee of indefinite platform availability and will provide reasonable notice before discontinuing a Skilski (see Section 9).

3. License Restrictions

You agree that you will not, directly or indirectly:

Reverse engineer, decompile, disassemble, or attempt to derive the source code, system prompts, model weights, or underlying logic of any Skilski
Extract, copy, reproduce, or reconstruct any Skilski's content, model artifacts, output templates, or training methodology outside the MCP protocol
Resell, sublicense, rent, lend, transfer, or otherwise make available the License or access to the Skilski to any third party
Use the Skilski to develop, train, or improve any competing AI model or product
Remove, alter, or obscure any copyright, trademark, or other proprietary notices associated with the Skilski
Use the Skilski in any application where failure or inaccuracy could cause physical harm, death, or significant injury (e.g., autonomous vehicle control, medical device operation, life-safety systems) without appropriate independent safeguards
Use the Skilski to generate content that violates applicable law, infringes third-party rights, or constitutes harassment, abuse, or discrimination
Attempt to circumvent access controls, MCP endpoint authentication, or bearer token security measures

4. Enterprise and Organizational Use

Unless you have entered into a separate Enterprise Org License or Master Services Agreement ("MSA") with AtomEons, an individual license covers use by a single named user only. The License does not extend to:

Organization-wide deployment across multiple users
Concurrent use by multiple individuals under a single account
Integration into a product or service offered to third parties

5. SkiPak (Curated Bundles)

A "SkiPak" is a curated bundle of Skilskis that may be activated in your vault with a single action. When you activate a SkiPak, you grant the same License to each included Skilski as if you had enabled it individually under Section 1, and the terms of this EULA apply to every Skilski in your active SkiPak. You may swap your active SkiPak at any time. Disabling individual Skilskis from your vault remains the per-tool opt-out.

Bundle activation does not create new license fees. Skilskis included in your active SkiPak that require a paid plan tier (e.g., Elite Skilskis) remain locked until you have the corresponding Skilski Pass; activation does not grant access to entitlements you do not otherwise hold.

6. No Warranty on AI Outputs

SKILSKI OUTPUTS ARE AI-GENERATED AND PROBABILISTIC. ATOMEEONS MAKES NO REPRESENTATION OR WARRANTY THAT ANY SKILSKI OUTPUT IS ACCURATE, COMPLETE, LEGALLY COMPLIANT, OR FIT FOR ANY PARTICULAR PURPOSE. OUTPUTS SHOULD NOT BE RELIED UPON WITHOUT INDEPENDENT VERIFICATION BY A QUALIFIED PROFESSIONAL IN THE RELEVANT DOMAIN. ATOMEEONS EXPRESSLY DISCLAIMS ALL WARRANTIES WITH RESPECT TO SKILSKI OUTPUTS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

7. Gauntlet Verification

Some Skilskis carry a "Gauntlet Verified" designation, indicating that AtomEons has applied its Gauntlet evaluation process to assess the Skilski's intended functionality, security posture, and instruction quality. Gauntlet verification is informational only: it is not a guarantee of accuracy, fitness for purpose, or absence of errors in any specific use case. The Gauntlet designation does not create any additional warranty or liability on the part of AtomEons.

8. Intellectual Property

AtomEons and its licensors retain all right, title, and interest in and to each Skilski, including all intellectual property rights. The License granted herein does not convey any ownership interest in any Skilski. Skilski creators retain authorship of their skill content under a perpetual license to AtomEons for distribution through the Platform.

You retain ownership of outputs you generate using Skilskis, subject to applicable law and any copyright claims by the AI model provider. AtomEons does not claim ownership of your generated outputs.

9. Discontinuation; Platform Changes

AtomEons reserves the right to modify, suspend, or discontinue any Skilski at any time. For Outright Purchases, AtomEons will use commercially reasonable efforts to provide at least 60 days' notice before permanently discontinuing a Skilski, and will offer affected purchasers a pro-rata credit or refund at its sole discretion. No refund or credit is owed for modifications that do not materially impair the Skilski's core described functionality.

10. Termination

This EULA and any License granted hereunder terminates automatically and immediately if you breach any provision of this EULA or the Platform's Terms of Service. Upon termination, you must cease all use of the affected Skilski. AtomEons may also terminate or suspend any License at its discretion with reasonable notice, except that perpetual Outright Purchase licenses may not be terminated without cause.

11. Governing Law and Disputes

This EULA is governed by the laws of the State of Florida. All disputes arising under this EULA are subject to the mandatory arbitration and class action waiver provisions of the Platform's Terms of Service (Section 14), incorporated herein by reference.

12. Entire Agreement

This EULA, together with the Platform's Terms of Service and any applicable Order Form, MSA, or Skilski-specific supplemental terms, constitutes the entire agreement between you and AtomEons with respect to the subject matter herein. In case of conflict, an MSA controls over this EULA, which controls over the Terms of Service with respect to Skilski license specifics.
